Constellation Software (TSX:CSU) Declares Conditional Topicus.com Dividend

As we mentioned in our last update on the Topicus.com spin out, this is one of the more interesting new public offerings that we are tracking. Constellation Software (TSX:CSU) is a best-in-class acquirer and it will mark the first time it spins out any of its subsidiaries. We are big fans of Constellation and it has been on our Bull List for some time. 

On Tuesday evening, Constellation declared the conditional dividend in connection with the Topicus.com spin out. CSU shareholders will receive 1.859817814 Spin-Out Shares for each common share of Constellation held. This only applies to shareholders on record as of October 28, 2020. 

To be eligible to receive the dividend, investors will need to buy CSU as least 2 days in advance of the record date. This means that if you are interested (and not currently a CSU shareholder), you should be buying CSU by end of week. 

The dividend is expected to be issued on or prior to November 17, 2020. 

Also important to note, the dividend will be rounded down to the nearest whole share. Here is the exact wording from the company's prospectus: "Fractional shares will not be issued. The number of Spin-Out Shares to be distributed to a CSI Shareholder will be rounded down to the nearest whole number of Spin-Out Shares."

Here are some scenarios:

  • 1 share of CSU = 1 share of Topicus.com (1*1.85 = 1.85)
  • 2 shares of CSU = 3 shares of Topicus.com (2*1.85 = 3.7)
  • 3 shares of CSU = 5 shares of Topics.com (3*1.85=5.55)
  • 4 shares of CSU = 7 shares of Topics.com (4*1.85=7.4)
  • 5 shares of CSU = 9 shares of Topics.com (5*1.85 = 9.25)

Constellation Software Inc. Declares Conditional Dividend in Connection with Proposed Topicus.com Spin Out

TORONTO, Oct. 20, 2020 (GLOBE NEWSWIRE) -- Constellation Software Inc. (“Constellation”) (TSX:CSU) announced today that in connection with its previously announced intention to explore opportunities for a future public listing of the shares of Topicus.com Inc., Constellation has resolved to pay a special dividend (the “Conditional Dividend”), conditional upon Constellation receiving the Spin-Out Shares (defined below) on or prior to November 17, 2020 (the “Condition Precedent”).

If the Condition Precedent is satisfied, the record date for Constellation shareholders entitled to receive the Conditional Dividend is October 28, 2020 (the “Record Date”), and the payment date will be determined and announced once the Condition Precedent is satisfied.

On May 20, 2020, Constellation, acting through its TSS operating group and its subsidiary TPCS Holding B.V., entered into a binding agreement with IJssel B.V. to purchase 100% of the shares of Topicus.com B.V. (“Topicus”), a Netherlands-based diversified vertical market software provider. In connection with the anticipated closing of the acquisition and the public listing of the subordinate voting shares of Topicus.com Inc., TSS will be spun out of Constellation and will operate together with Topicus as a separate publicly traded company. Pursuant to the spin-out, Constellation is expected to receive subordinate voting shares of Topicus.com Inc. (the “Spin-Out Shares”), and pursuant to the Conditional Dividend, provided the Condition Precedent is satisfied, the shareholders of Constellation on the Record Date will be entitled to receive, by way of a dividend-in-kind, 1.859817814 Spin-Out Shares for each common share of Constellation held.

On September 21, 2020, Topicus.com Inc. filed a preliminary prospectus in connection with the proposed spin-out.

The spin out transaction and listing is subject to approval of the TSX Venture Exchange and acceptance of a final prospectus by the securities regulatory authorities.
